Labor Rate:

Possible Surcharges:
3% if paying via credit or debit card

By engaging with Satera Parts and Performance (“Satera”), I/We
(“customer”) have agreed to the following terms and conditions.

Estimates:
Estimates are only proposals for the intended parts and services to be provided. They are not final. The final cost of parts and services will be provided prior to the completion of services. Estimates are non-binding, as they are often amended with customer’s consent. Satera reserves the right to update labor and parts based on intended work to be provided. Satera will update invoices accordingly.
Satera will provide a link for all invoices connected to ongoing services provided. The link provides the updated invoice as services are provided. This provides the customer a copy of any proposed work that has been discussed.
Consulting Service:
Building quotes, discussing build plans, coming up with parts needed, etc etc... All require a lot of time. We pride ourselves with the knowledge and experience we can provide our customers. This is all part of the value we at Satera Parts and Performance can provide. The cost of our time to provide this type of knowledge and service is $200 an hour (minimum charge 1 hour). We will provide one free quote to all customers for any requested work. But if it turns into anything more than that. This also will require our consulting fee to be covered.
We invest in training, high end software, and building relationships with vendors to allow us to advise and provide the guidance we give. This is what this fee covers.
Communication Charge:
We at Satera Parts and Performance have several team members in place to help keep up with communication on builds and progress. We proactively keep our customers up to date on any changes or progress made to their projects and builds. Added contact attempts do require time which prevents us from communicating with other customers or progressing on other tasks that we might have to complete. This charge helps compensate for the added contact attempts outside of the normal updates we perform.
Payment:
Satera reserves the right to request an initial deposit for
parts, goods, and services to be provided. There are no refunds or returns once a deposit is made. Deposits are made for parts, reservation of time for dyno, and special order items.
All in which can not be refunded for any reason once terms are agreed to.
Satera requires that all invoices remain current. Payment shall be made by Friday of each week by customer. Non-payment shall be construed as a breach of contract. Satera reserves the right to initiate collection proceedings or legal action for a breach of contract should payment not be received in a timely manners. The customer agrees to pay the amount owed, plus costs and reasonable attorney fees should collection or legal proceedings be elected by Satera.

Should any outstanding invoices become 7 days past due, Satera reserves the right to charge a $50.00 per day in storage fees. Regardless of being stored inside or outside of the facility. Satera reserves the right to charge a $50.00 per
day storage fee for any vehicle that remains on the property greater than 7 consecutive days.
Satera can NOT be held responsible for any condition changes or damages to a vehicle that is stored on the property. Especially if storage fees are NOT being charged. The customer is responsible for the vehicle during the time it is not being actively worked on. This does include and not limited to weather damage, anything related to nature, 3rd party caused damage, etc etc.
Satera also reserves the right to charge a Late Fee for any invoice that exceeds 7 days past due. The late fee is 5% of the total invoice balance. This late fee will be added on a weekly basis until the invoice is paid in full.
Warranty:
At Satera Parts and Performance, we stand behind our workmanship and take pride in the quality of our work. However, please note that there is no warranty offered on labor or parts directly through our shop.
Any potential warranty coverage would come solely from the manufacturer of the part and must be handled directly with them. We are happy to assist with any documentation needed to support your claim, but we do not facilitate or manage warranty approvals.
Additionally, any labor required as part of a warranty replacement — even if the part is covered by the manufacturer — is the responsibility of the customer, not the shop. Labor charges for removal, reinstallation, or diagnostics related to a failed part will still apply.

Tuning Services:
All Tuning services are sub-contracted to our sister company Satera Tuning. Satera Tuning's TOS are found at this URL. https://sateratuning.com/rates-and-terms. Customer acknowledges and agrees to both TOS if utilizing any tuning services. Customer agrees that should Satera provide a tune file, said tune file is a protected property. Satera is the sole owner of said tune. Customer agrees any tune, tune file or advice provided shall not be shared with anyone. Customer agrees that if this information is disclosed to anyone, Satera shall have the right to seek damages in the form of monetary compensation for said disclosure. Satera reserves the right to enforce their protected right should
customers violate these terms and conditions.

If we can not properly tune a vehicle due to mechanical issues, we will pause tuning until those issues are resolved. If you would like assistance with mechanical or tech services - a new invoice can and will be generated for diagnostic and repair at a rate of $200 an hour. Remote tuning is a different service then diagnosing a vehicle with an issue. And we will bill accordingly. Once the vehicle is repaired to a fully functioning status, we then will continue the tuning services previously requested.
"Burble, Pop, Bang, Crackle, etc etc" Tunes will be offered. We must disclose that when these settings are in place, it is not healthy or beneficial. Satera Parts and Performance takes a lot of pride in offering reliable and safe power. BUT by agreeing to the TOS, the customer is aware that by implementing this tune... It can reduce reliability. Satera Parts and Performance is not responsible or liable for any ill affects, damage, or negative impacts that may come from this type of tune.
The customer agrees the vehicle is in sufficient condition without deficiencies. Customer agrees that any deficiencies will be disclosed to Satera prior to any tuning. Customer agrees that if the condition of the vehicle falls
below the standard Satera has established, the customer is solely responsible for any failures, malfunctions or injuries resulting. Customer agrees to release Satera from any and all liability in connection with the services provided or intended services.

Tuning with 3rd Part Shops or Vendors:
Anytime a remote tuning service is requested that will include a 3rd Party Business or Vendor - We reserve the right to require the signing of an NDA/NC document that will be distributed on demand. This document purely is in place to protect and guard the work and knowledge that has gone into developing our tuning strategy. Once a document is signed, the business is able to be listed on our website as an authorized partner for our tuning services and products. If you or any 3rd party business has any questions. Please contact us immediately.
Our tuning services are to be provided during normal business hours.

We do offer after hours, weekend tuning, and track support
rates which can be discussed in advance. Please contact us for pricing and scheduling for this type of service.
Log Review Fee:
Once a tune is completed.
We reserve the ability to charge a $50 fee
to review a data log after the tuning session.
Base Tune File NOT OEM- $200 (but can be more pending assessment):
If we are providing any tuning services. We request to have access to the OEM STOCK calibration as a starting point. If this is not available, we will charge a minimum of $200 due to the extra time and work that goes into correcting or cleaning up the calibration. Not only does it add extra labor, but sometimes can prohibit correct results.
Scheduled Tuning:
Tuning services are scheduled in advance. If not scheduled, we will do our best to return a revision within 24-48 hours (during normal business hours). We appreciate patience as we are very busy and want to be able to deliver the best service possible. This does require 100% attention to detail, which is why we honor our scheduling system.
Customers agree and understand that during the modification of vehicles - We are adding, removing, installing, and changing the vehicle. During the process minor wear or evidence marks might be created during the modification process. The customer hereby understands that Satera Parts and Performance can NOT be responsible for these types of footprints that may be left in place due to the modifications requested. The customer will be responsible for any replacement or repair costs that might be requested at that time.
Customer agrees, understands, and consents that all tuning
and/or services provided by Satera are designated for
OFF-ROAD USE ONLY.
Customer agrees, understands and consents that the vehicle is NOT to be used on public roadways at any time if or when Satera provides services. Customer releases Satera for any and all liability that should arise if customer chooses to use said vehicle on public roadways. Customer agrees Satera shall not tune or provide any services that negate any emission control devices.
Customers agree they are responsible for removal and disposal of any take off OEM parts. If the customer does not take or retrieve said parts within 14 days. Satera Parts and Performance reserves the right to dispose of any products abandoned by customers unless arrangements are made.
Customer agrees all sales are final for tuning services. There are no refunds anytime tuning services are being purchased.

Customer agrees and understands in the event that a dispute arises from the services provided, any and all matters or claims shall be governed by the State of Illinois and any claims or litigation shall be filed in McHenry or Cook County, Illinois.

EMMISIONS SYSTEM POLICY
Due to the EPA's announcement of their National Compliance Initiative, the nature of our industry and our desire to be compliant to federal law and create a policy which allows us to build a sustainable business, we have decided to implement more restrictive rules as pertaining to what we can offer in custom tuning.
At this time we will not offer any tuning for street vehicles which enables emissions systems to be removed. If you wish to remove emissions systems from your street vehicle, you do so at your own risk. We will not shut off any emissions related codes on any vehicle which is tagged and driven on the street. There are ways that these codes can be shut off by the end user but we will not assist with this.
If you have an off-road only vehicle you must prove that your vehicle is not operated on public roads to receive any tuning that removes emissions systems.
We are also not selling any components which enable the deleting of emissions components. You will not find any cat delete pipes or other emissions delete parts on our website and we will not sell them over the phone either.
We hope that our customers can understand our stance on these issues. It is in all of our best interest to do what we can to keep this industry that we love viable for the future and we believe the only way that we can do this is to follow federal law as closely as we can and attempt to work with the EPA to find compromise on these issues.

Satera Parts and Performance, its owners, employees, affiliates, and partners shall not be held liable for any damage, loss, injury, or claim — including but not limited to mechanical failure, engine damage, transmission failure, drivetrain issues, or personal injury — that may occur before, during, or after the use of our products or services.

Customer Responsibility:
It is the customer’s sole responsibility to ensure their vehicle is in proper mechanical condition prior to and after tuning. All use of Satera Parts and Performance files, calibrations, or recommendations is voluntary, and the customer assumes full responsibility for the outcome and continued maintenance of the vehicle.

Off-Road Use Notice:
All performance tuning and calibration services are intended for off-road and competition use only, unless otherwise specified. The customer is responsible for complying with all local, state, and federal laws regarding vehicle modifications and emissions compliance.

Acknowledgment:
By engaging with Satera Parts and Performance in any capacity — including in-person tuning, remote tuning, data log review, or purchasing related products — the customer confirms they have read, understood, and accepted this liability waiver and agree to release Satera Parts and Performance from any and all responsibility.
